Deadalus Systems provides custom software development, mobile application development, web solutions, AI solutions, cloud services, and related technology consulting services. The specific scope, deliverables, and timelines for any engagement will be defined in a separate Statement of Work or service agreement between you and the Company.

3. User Accounts

• You may be required to create an account to access certain services. You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and complete information when creating an account and to update it as necessary.
• You are responsible for all activities that occur under your account and must notify us immediately of any unauthorized use.

4. Intellectual Property

• All content, trademarks, and materials on our website and products are the property of Deadalus Systems or its licensors and are protected by applicable intellectual property laws.
• Unless otherwise agreed in a separate written agreement, intellectual property rights for custom work will be transferred to the client upon full payment for the engagement.
• You may not reproduce, distribute, modify, or create derivative works of our proprietary materials without prior written consent.

5. Payment Terms

• Payment terms, including fees, milestones, and schedules, will be outlined in the applicable service agreement or Statement of Work.
• Late payments may incur additional fees as specified in the service agreement.
• We reserve the right to suspend services if payment is not received within the agreed timeframe.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
• Interfere with or disrupt the security, integrity, or performance of our services.
• Attempt to gain unauthorized access to our systems or networks.
• Transmit any harmful code, including viruses, malware, or similar technologies.

7. Limitation of Liability

To the maximum extent permitted by law, Deadalus Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability for any claim arising from these Terms shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

8. Warranties & Disclaimers

Our services are provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the reliability, availability, or suitability of our services for your particular purposes. We do not guarantee that our services will be uninterrupted or error-free.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a service engagement. This obligation survives the termination of these Terms and any related service agreement.

10. Termination

• We may suspend or terminate your access to our services at any time for violation of these Terms.
• Either party may terminate a service engagement as specified in the applicable service agreement.
• Upon termination, all provisions that by their nature should survive will remain in effect, including intellectual property, confidentiality, and limitation of liability.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the courts of competent jurisdiction in Accra, Ghana.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
